Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of products developed by PropOps Technologies Ltd (“PropOps”, “we”, “us”, “our”):

• PropOps Web — a self-hosted property-operations platform for small and medium-sized businesses (SMBs), distributed as a Docker image.
• PropOps iOS — a native iOS application for solo contractors, distributed via the Apple App Store.

These are independent products with different technology stacks, data architectures, and payment models. Where terms apply to only one product, this is clearly indicated. By creating an account or using either product you agree to be bound by these Terms. If you do not agree, do not use the product.

3. Account Registration

• You must provide accurate and complete information during registration.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately of any unauthorised use of your account.
• One person may not maintain multiple accounts unless authorised by their organisation administrator.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Interfere with or disrupt the Service, servers, or networks.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Upload malicious code, viruses, or harmful content.
• Scrape, data-mine, or use automated tools to extract data without authorisation.
• Impersonate another person or entity.

5. Deployment & Data Architecture

5.1 PropOps Web (Self-Hosted)

• PropOps Web is deployed on your own server or VPS using Docker.
• You are responsible for your hosting environment, backups, network security, and server maintenance.
• PropOps Technologies Ltd does not manage, access, or monitor your instance.
• A built-in licence check periodically validates your licence key. No personal data is transmitted during this check.
• Tampering with or circumventing the licence check is prohibited.

5.2 PropOps iOS (Apple CloudKit)

• PropOps iOS stores all data exclusively in your personal Apple CloudKit container, secured by Apple’s infrastructure.
• PropOps Technologies Ltd does not operate servers, databases, or backend systems for PropOps iOS.
• PropOps Technologies Ltd has no access to your CloudKit data.
• Data syncs across your Apple devices via iCloud, managed entirely by Apple.
• You are responsible for managing your iCloud storage and account.

6. Service & Software Updates

• We may release updates, patches, and new versions of PropOps Web.
• It is your responsibility to apply updates to your self-hosted instance.
• We reserve the right to discontinue development or support with reasonable notice.

7. Intellectual Property

• Our IP — PropOps Web and PropOps iOS, including their design, logos, and documentation, are owned by PropOps Technologies Ltd and protected by intellectual property laws. PropOps Web is distributed exclusively as a Docker image; its source code is proprietary and not provided to the Licensee. PropOps iOS is distributed exclusively via the Apple App Store.
• Your Content — You retain ownership of Content you create or upload. By using either product you grant the software a limited licence to store, process, display, and transmit it solely to provide the applicable Service.
• Feedback — Any suggestions or feedback you provide may be used by us without obligation or compensation.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service you acknowledge and agree to the data practices described therein.

9. Payment & Billing

9.1 PropOps Web

• PropOps Web is licensed via a one-time payment for a specific version. There are no recurring subscription fees.
• Payment is due as set out in your licence agreement or order form.
• We reserve the right to suspend or revoke the licence for non-payment after reasonable notice.
• All fees are exclusive of VAT unless stated otherwise.

9.2 PropOps iOS

• PropOps iOS is available via subscription through the Apple App Store. A lifetime purchase option may also be offered.
• All payments are processed by Apple via StoreKit. PropOps Technologies Ltd does not receive, process, or store any payment card details.
• Subscription management, renewals, cancellations, and refunds are handled through your Apple ID settings and are subject to Apple’s terms.
• Pricing may vary by region and is displayed in the App Store.

10. Limitation of Liability

To the maximum extent permitted by law:

• Both products are provided “as is” and “as available” without warranties of any kind, express or implied.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• PropOps Web — Our total aggregate liability shall not exceed the total licence fee paid by you for the licensed version.
• PropOps iOS — Our total aggregate liability shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless PropOps Technologies Ltd, its officers, directors, and employees from any claims, damages, or expenses arising from:

• Your breach of these Terms.
• Your use of the Service.
• Content you upload or share through the Service.

12. Termination

12.1 PropOps Web

• By you — You may stop using PropOps Web at any time by removing the software from your server.
• By us — We may revoke your licence if you breach these Terms, with or without notice depending on severity.
• Effect — Upon termination, your right to use PropOps Web ceases. Your data remains on your server under your control.

12.2 PropOps iOS

• By you — You may stop using PropOps iOS at any time by cancelling your subscription through your Apple ID settings and deleting the app.
• By us — We may terminate your access if you breach these Terms.
• Effect — Upon termination, your data remains in your iCloud / CloudKit account under your control. PropOps Technologies Ltd does not hold any of your data.

13. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via in-app notice or email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.

14. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
