1. Licence Grant
PropOps Technologies Ltd (“PropOps”, “we”, “us”, “our”) grants you (the “Licensee”) a non-exclusive, non-transferable licence to use the applicable PropOps product, subject to compliance with these Licence Terms. These Licence Terms cover two separate products:- PropOps Web — a self-hosted property-operations platform for SMBs, distributed as a Docker image.
- PropOps iOS — a native iOS application for solo contractors, distributed via the Apple App Store.
2. Licence Model
2.1 PropOps Web — One-Time Payment
- The licence is purchased as a one-time payment for a specific version of the PropOps Web Docker image.
- There are no recurring subscription fees for the licensed version.
- Your licence entitles you to use that version indefinitely.
2.2 PropOps Web — Included with Your Licence
Your licence includes:- Bug fixes — patches that resolve defects in the licensed version.
- Security patches — updates that address security vulnerabilities in the licensed version.
- Minor updates — incremental improvements and stability enhancements within the licensed major version.
2.3 PropOps Web — Licence SKU
Each PropOps Web licence is assigned a unique SKU in the format:- Invoicing — the SKU appears on your invoice as the line-item identifier.
- Internal records — PropOps Technologies Ltd uses the SKU for licence tracking and administration.
- Support queries — when contacting support or licensing, quote your SKU to help us locate your licence quickly.
Your licence SKU can be found on your original invoice or order confirmation. If you are unsure of your SKU, contact license@propops.app.
2.4 PropOps Web — Limited Trial
PropOps Technologies Ltd may, at its sole discretion, offer a limited trial period for product introduction purposes. Trial access is subject to the following terms:- Pricing — the trial is charged at £150 per calendar month (excluding VAT where applicable).
- Infrastructure — trial instances run on PropOps-managed infrastructure. The Licensee does not self-host during the trial period.
- Purpose — the trial is provided for evaluation and product introduction only. It must not be used for production workloads, live client data, or commercial operations.
- Availability — the trial is offered on a limited-availability basis and is not guaranteed. PropOps Technologies Ltd reserves the right to withdraw, modify, or discontinue the trial programme at any time without prior notice.
- Duration — trial periods are agreed on a case-by-case basis. Continued access beyond the trial requires the purchase of a full PropOps Web licence.
- Data — any data entered during the trial may be deleted upon expiry. PropOps Technologies Ltd is not obligated to retain, migrate, or export trial data.
- Terms — all other provisions of this Licence Agreement apply during the trial period, except where expressly stated otherwise.
2.5 PropOps Web — Not Included
- Major version upgrades — new major versions of PropOps Web (e.g. v2.x → v3.x) may require a separate licence purchase.
- Custom development — bespoke features, integrations, or modifications are not included and must be agreed separately.
- Infrastructure support — server setup, hosting configuration, and DevOps are your responsibility (see SLA).
2.6 PropOps iOS — Subscription
- PropOps iOS is available via subscription through the Apple App Store. A lifetime purchase option may also be offered.
- All payments are processed by Apple via StoreKit. PropOps Technologies Ltd does not receive, process, or store any payment card details.
- Your subscription entitles you to use PropOps iOS for the duration of the active subscription period.
- Subscription management, renewals, cancellations, and refunds are handled through your Apple ID settings and are subject to Apple’s terms.
- PropOps iOS updates are distributed via the App Store.
3. Permitted Use
3.1 PropOps Web
The Licensee may:- Install and run the Software on one production domain per licence. The licence automatically locks to the domain on first run.
- Configure the Software in accordance with its documentation.
- Build third-party applications or services that integrate with PropOps Web via its documented API and webhook interfaces.
PropOps Web is distributed exclusively as a Docker image. The source code is proprietary to PropOps Technologies Ltd and is not provided to, accessible by, or modifiable by the Licensee. Third-party integrations must interact exclusively through the public API.
3.2 PropOps iOS
The user may:- Install and use PropOps iOS on any Apple device signed in to the same Apple ID used for the subscription purchase.
- Create, store, and manage job data, client information, and documents within the app.
- Sync data across Apple devices via iCloud.
4. Restrictions
4.1 PropOps Web
The Licensee must not:- Redistribute, sublicence, sell, lease, or transfer the Software or the licence to any third party without prior written consent from PropOps Technologies Ltd.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to extract or derive the source code from the Docker image.
- Modify, patch, fork, or create derivative works from the Software or its container.
- Access, extract, or copy files from within the Docker container beyond what is exposed through the documented API.
- Remove, alter, or obscure any proprietary notices, licence keys, branding, or copyright notices within the Software.
- Use the Software to provide a managed service, SaaS offering, or hosted platform for third parties without a separate commercial agreement.
- Circumvent, disable, or tamper with the built-in licence validation mechanism.
4.2 PropOps iOS
The user must not:- Redistribute, sublicence, sell, lease, or transfer the app or subscription.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code.
- Attempt to sideload, distribute, or install PropOps iOS outside of the Apple App Store.
- Use the app to provide a managed service or platform for third parties.
- Circumvent subscription validation or attempt to access premium features without an active subscription.
5. Data Protection & Security Obligations
5.1 PropOps Web — Compliance Requirements
The Licensee is responsible for ensuring that their use of PropOps Web complies with all applicable data protection laws and regulations, including but not limited to:- UK GDPR (UK General Data Protection Regulation).
- Data Protection Act 2018.
- EU GDPR (if processing data of EU residents).
- Any other applicable local, national, or international data protection legislation.
5.2 PropOps Web — PII Standards
The Licensee must:- Handle all Personally Identifiable Information (PII) in accordance with applicable regulations.
- Maintain appropriate technical and organisational measures to protect personal data.
- Ensure that access to personal data within PropOps Web is restricted to authorised personnel only.
- Use the built-in role-based permission system to enforce least-privilege access.
- Report any data breaches to the relevant supervisory authority and affected individuals in accordance with legal requirements.
5.3 PropOps Web — Security Practices
The Licensee is expected to follow standard security practices, including but not limited to:- Deploying PropOps Web behind HTTPS with a valid TLS certificate.
- Keeping the host operating system, Docker, and all dependencies up to date.
- Applying PropOps Web security patches promptly.
- Using strong, unique passwords for all accounts.
- Configuring firewalls and network security appropriate to the deployment.
- Maintaining regular backups stored securely and separately from the production server.
- Restricting database access to the application only.
5.4 PropOps iOS — Data & Security
PropOps iOS stores all data in the user’s personal Apple CloudKit / iCloud account:- PropOps Technologies Ltd does not collect, store, access, or process any PropOps iOS user data.
- Data security is provided by Apple’s infrastructure (encryption at rest, encryption in transit, Apple ID access control).
- The user is responsible for maintaining the security of their Apple ID and iOS device.
- PropOps Technologies Ltd accepts no responsibility for data loss arising from Apple service outages, iCloud issues, or the user’s failure to maintain device security.
6. Prohibited Modifications
The following modifications constitute a breach of this licence:6.1 Security Tampering
- Disabling, weakening, or bypassing any built-in security feature (encryption, CSRF protection, session security, file integrity monitoring, password breach scanning, rate limiting, etc.).
- Modifying the Software to reduce the encryption strength or remove PII protection mechanisms.
- Disabling or circumventing the licence validation check.
- Removing or altering audit logging or activity tracking.
6.2 Falsification
- Modifying the Software to misrepresent its identity, version, or origin.
- Altering branding, copyright notices, or “powered by” attributions to falsely present the Software as a different product.
- Injecting backdoors, monitoring tools, or data exfiltration mechanisms not part of the original Software.
- Tampering with security reports, audit logs, or integrity check results to conceal modifications or breaches.
6.3 Compliance Circumvention
- Modifying the Software to circumvent data retention policies or GDPR compliance features.
- Disabling or weakening access controls to grant unauthorised users access to restricted data or functionality.
- Removing or altering consent mechanisms, data subject rights features, or privacy controls.
7. Liability & Indemnification
7.1 No Responsibility for Misuse
PropOps Technologies Ltd:- Provides the Software “as is” with security features enabled by default.
- Has no access to, backdoors into, or monitoring of your PropOps Web instance.
- Accepts no responsibility for how the Licensee deploys, configures, or uses the Software.
- Is not liable for any consequences arising from the Licensee’s failure to maintain adequate security, apply updates, or comply with data protection regulations.
7.2 Indemnification
The Licensee agrees to indemnify and hold harmless PropOps Technologies Ltd, its officers, directors, and employees from any claims, damages, fines, penalties, or expenses arising from:- The Licensee’s breach of these Licence Terms.
- The Licensee’s failure to comply with applicable data protection laws.
- Data breaches or security incidents caused by the Licensee’s negligence or misconfiguration.
- Misuse of the Software by the Licensee or any user within the Licensee’s organisation.
8. Licence Validation & Domain Locking
8.1 Domain Lock
- PropOps Web automatically locks to the domain on which it is first run.
- Once locked, the licence is valid only for that specific domain.
- Subdomains are treated as separate domains (e.g.
app.example.comandstaging.example.comare two distinct domains). - The domain lock cannot be changed by the Licensee — contact license@propops.app for domain changes.
8.2 Additional Domains
- Each licence covers a single domain. Additional domains — including subdomains — require a separate licence or an additional domain fee.
- To add domains to an existing licence, contact license@propops.app.
- Running PropOps Web on an unlicensed domain is a breach of these Licence Terms.
8.3 Validation Mechanism
- PropOps Web includes a built-in licence validation mechanism that periodically verifies your licence key and domain with PropOps Technologies Ltd.
- No personal data is transmitted during the licence check — only the licence key, domain, and instance identifier.
- If the licence key is invalid, expired, revoked, or the domain does not match, certain features may be restricted.
- Tampering with the licence validation mechanism is a breach of these terms (see Section 6.1).
9. Termination & Revocation
9.1 PropOps Web — Termination by the Licensee
You may stop using PropOps Web at any time by removing the Software from your server. No refund is provided for voluntary cessation of use.9.2 PropOps Web — Revocation by PropOps
PropOps Technologies Ltd may revoke the licence if the Licensee:- Breaches any provision of these Licence Terms.
- Tampers with security features, the licence check, or compliance mechanisms.
- Uses the Software in a manner that damages the reputation of PropOps Technologies Ltd.
- Fails to comply with applicable data protection regulations after being notified.
9.3 PropOps Web — Effect of Termination
Upon licence revocation:- The Licensee must cease all use of the Software.
- The Licensee must delete all copies of the Software from their infrastructure.
- Data on the Licensee’s server remains the Licensee’s property and responsibility.
- No refund is provided for licences revoked due to breach.
9.4 PropOps iOS — Termination
- You may stop using PropOps iOS at any time by cancelling your subscription through your Apple ID settings and deleting the app.
- PropOps Technologies Ltd may terminate your access if you breach these Licence Terms.
- Upon termination, your data remains in your iCloud / CloudKit account under your control. PropOps Technologies Ltd does not hold any of your data.
- Refunds for subscription payments are subject to Apple’s refund policies.
10. Intellectual Property
- PropOps Web and PropOps iOS, including their source code, design, architecture, logos, and documentation, remain the sole intellectual property of PropOps Technologies Ltd.
- PropOps Web is distributed exclusively as a Docker image. PropOps iOS is distributed exclusively via the Apple App Store. The source code for neither product is provided to, visible to, or accessible by users.
- The licence grants the right to use the product, not to own, inspect, or modify its contents.
- No rights are granted to any patents, trademarks, or trade secrets of PropOps Technologies Ltd except as explicitly stated in these terms.
11. Extensions
PropOps Technologies Ltd plans to support an extension model allowing third-party developers to build additional functionality that integrates with PropOps Web.- Extensions run outside the PropOps Web Docker container.
- Extensions interact with PropOps Web exclusively through its documented public API and webhook interfaces.
- Extensions must not attempt to access, modify, or inject code into the Docker container.
- PropOps Technologies Ltd is not responsible for the functionality, security, or data handling of third-party extensions.
- Extension developers are responsible for ensuring their extensions comply with all applicable data protection laws.
12. Updates & Communication
12.1 PropOps Web
- Bug fixes and security patches for the licensed version will be communicated via email to the registered licence holder.
- The Licensee is responsible for applying updates to their instance.
- PropOps Technologies Ltd reserves the right to cease support for older versions with at least 12 months’ notice.
12.2 PropOps iOS
- Updates are distributed via the Apple App Store.
- Updates are subject to Apple’s app review process and may take additional time.
- PropOps Technologies Ltd reserves the right to discontinue PropOps iOS with reasonable notice.
13. Governing Law
These Licence Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.14. Severability
If any provision of these Licence Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.15. Contact
